Your offer document shows negative operating cash flow. At what point do you expect the business to turn cash flow positive, and what milestones will get you there?

Hi Anthony, thanks for your question. Section 6.1 and Section 6.2 of the Offer Document deal with shareholder rights, investor disposals and reporting. Generally, the company is required to hold an Annual General Meeting of Shareholders and to produce financial statements annually. In addition, the company is committed to keeping shareholders informed and you can expect to receive quarterly updates on their progress. As an unlisted company, there are restrictions on sale as outlined in Section 6.1.6.

Dividend Aspirations

Ive already invested and really like the brand. The concept is strong, and the team behind the project appears highly motivated and genuinely committed to what theyre building.

I understand that the current focus is on growth and expansion, which makes sense at this stage. However, Im curious to know whether there are any long-term plans to pay dividends to shareholders. Is there a point at which the directors foresee being satisfied with the level of growth and begin distributing a portion of the profits back to investors, rather than continuing to reinvest everything into further expansion?

Pre-Money Valuation - $21.4m

How did you get to the $21.4m pre-money valuation and what is the basis for this? Has there been any sensitivities on this? Based on current performance, that's a 6.6x EV/Revenue on FY25 numbers which is very high.

Thanks for the question.
We sought the advice of the Crowd Funding industry and the multiplier being used is between 6.5 (low benchmark) and 6.8 (high benchmark) of gross revenue, excluding excise rebate for our industry. Considering where Limoncello Australia Ltd is at this point, it was decided to use 6.8 as the multiplier. The Offer Document explains all the reasons why our industry, specifically Limoncello, the high multiplier was used.
